Alan S. Cohen


Alan S. Cohen is a member of the Firm’s Real Estate and Real Estate Finance Practice Groups.

He is also a member of the Firm’s Management Committee. 

Mr. Cohen is a real estate strategist.  His biggest asset is his comprehensive view of the entire real estate landscape and his ability to help his clients negotiate advantageous transactions, often involving multiple parties and multiple layers of the capital stack.  Mr. Cohen has handled virtually every type of commercial real estate transaction during his 30 years of practice - from ground-up developments to complex joint ventures to structured finance to workouts and restructurings.  However, in recent years, he has focused his practice on the following areas of real estate law, all of which play to his strengths:

  • Development (Assemblages) – representing owners and developers, institutional investors and lenders in all stages of real property development for nearly all asset types (e.g., multi-family, condos, hotels, office, retail and corporate campuses).  This has included the acquisition of real property and development rights, structuring complex joint venture and financing arrangements, and negotiating development, construction, management and related agreements with trade professionals.  Mr. Cohen's representative matters include the development of a 1.5m square foot corporate campus for Nvidia in Santa Clara, CA, acquisition and redevelopment of the 1,000 acre Dorado Beach Resort in Puerto Rico, assemblage and development of numerous hotel, office and mixed-use projects in New York City and throughout the United States. A specific area of expertise includes complex land assemblages because these require particular expertise and strategy as well as coordinating with multiple players simultaneously.

  • Real Estate Finance – representing banks, mortgage REIT's, investment and opportunity funds, other financial institutions and borrowers in all aspects of real estate finance, whether in the form of mortgage or mezzanine loans or preferred equity investments. Mr. Cohen has a particular sub-specialty in construction lending, because this is an area where he could apply his substantial experience in structured finance with handling complex development projects for developers and navigating through multiple levels of debt and equity.  An overview of Mr. Cohen’s real estate finance expertise includes:

    • Construction and development projects

    • EB-5 financings                                               

    • Tax credit structures

    • Ground Leases

    • Healthcare facilities, including nursing homes

    • Hotels and resorts

    • Condominiums and cooperatives

  • Real Estate Ventures – representing real estate operators and their financial partners in the formation of investment partnerships – whether in the form of one-off joint ventures, programmatic relationships or strategic platforms - and the development and execution of their business strategies, including in connection with the negotiation of venture documentation (within the ventures and with outside investors) and acquisition transactions, involving multifamily, retail, office, hospitality, industrial and other asset classes.

  • Caribbean Real Estate – representing owners, developers, lenders and investors in hotels, resorts, retail, office, industrial and residential transactions throughout the Caribbean and Central America.  This includes, for example, billions of dollars of transactions in Puerto Rico, including some of the largest real estate transactions in Puerto Rico’s history.  Given his vast experience in handling transactions in this region, Mr. Cohen has cultivated solid relationships with the major local law firms and owners/developers and is quite familiar with local laws and customs

Mr. Cohen is well-known in the real estate industry as a dealmaker with a keen appreciation of the business of real estate and his clients’ objectives.  He adds tremendous value to his relationships through his extensive network of real estate contacts and by introducing his clients and contacts to business opportunities – as well as helping to fill holes in the capital stack which arise in the course of transactions.

Mr. Cohen’s clients frequently turn to him to handle their most complex transactions, often involving transitional or so-called “hairy” assets.

Mr. Cohen was named as one of New York Metro Area’s Super Lawyers in real estate each year from 2006 through 2017.

Prior to joining the Firm, Mr. Cohen was a partner at Cooley LLP (and its predecessor firm in New York, Kronish Lieb), a partner at Morrison Cohen (where he chaired the Real Estate Practice) and an associate at Shearman & Sterling LLP.
