Crowdfunding

Overview

The Real Estate Crowdfunding Practice at Duval & Stachenfeld focuses on advising real estate sponsors, real estate investors and real estate crowdfunding platforms in the creation, structuring and documentation of real estate crowdfunding investments.

Real estate crowdfunding is the syndication of an equity or debt real estate investment to at least moderately high net worth individuals or entities using an internet interface.  Real estate crowdfunding has been made possible by recent changes to the securities laws and regulations – in particular, the relaxation of limitations upon the general solicitation of investors in the conduct of private placements of securities.

The Real Estate Crowdfunding Practice is run personally by D&S partners having literally decades of experience in handling a wide variety of innovative real estate platforms including sophisticated co-venture agreements, sponsor capital funds, and direct participation programs.

The goal of the Firm’s partners in this practice area is to provide strategic, economic and legal advice to:

  • Sponsors, developers and similar parties raising capital for their own use through crowdfunding platforms – both through their own proprietary platforms, through multi-party, independent platforms, and through whatever other platform becomes the next step in the evolution of this important new business tool;

  • Investors desiring to provide equity or debt capital via crowdfunding platforms to real estate sponsors, developers and similar parties;

  • The crowdfunding platforms themselves; and

  • Major players – such as investment funds – who wish to avail themselves of this largely untapped source of additional investors and capital.
