Douglas M. Morea joined the firm in 2007 and is a member of the Corporate, Securities, Mergers and Acquisitions Practice Group.

 

Mr. Morea is an expert in mergers and acquisitions and business entity formation, with a particular expertise in “roll-up” acquisition programs of leveraged, private equity sponsored insurance brokerage and other services companies.  He has provided legal advice with respect to well over 100 mergers and acquisitions and joint ventures, as well as private debt and equity offerings in connection with these programs.

 

Prior to joining the Firm, Mr. Morea was the Managing Partner of Morea Schwartz LLP in New York, New York.  Mr. Morea has also served as Tax Counsel for a publicly traded insurance broker, where he advised on several acquisition structures.  He began his legal career at Coopers & Lybrand in its mergers and acquisitions practice group.

 

Mr. Morea has been involved in the following representative transactions:

 

Served as lead acquisition counsel in the anchor acquisition by a consolidator of insurance brokerage businesses.  The transaction involved simultaneous acquisitions of several businesses, funded by private equity and senior debt, in which the sellers received a complex mix of cash, equity and buyer notes.

 

Represented several management teams in acquiring their businesses from their respective employers.

 

Represented several sellers of insurance brokerage businesses.

 

Represented buyers and sellers of businesses in the financial intermediary, publishing, cosmetics, home care products, e-commerce and web-based advertising sectors.

 

Represented issuers in private equity capital raises and borrowers in senior loan facilities.

 

Mr. Morea graduated Cum Laude from St. John's University School of Law, where he was an editor of the St. John's Law Review.  He has a Masters Degree in Tax Law from New York University School of Law.

 

Mr. Morea is licensed in New York and is a certified public accountant.
